Terms of Service

1. What AgTerms is

AgTerms helps farmers and landowners manage farmland lease agreements: tracking terms and payment schedules, generating and electronically signing lease documents, exchanging messages, and keeping renewal and notice deadlines organized. AgTerms is a record-keeping and coordination tool. It is not a law firm, and using it does not create an attorney-client relationship or substitute for legal, tax, or financial advice.

2. Accounts

You need an account to use AgTerms. You're responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Tell us right away if you believe your account has been compromised.

You must be at least 18 years old to create an account. Accounts are for individuals and businesses acting in a farming or land-ownership capacity, not for unrelated commercial use.

3. Participation in an agreement

AgTerms uses one account for each person. When you set up a workspace, you choose whether you're starting with land you farm or land you own; that sets up the tools and access appropriate to your first agreement. Farmers can create agreements, record payments, and invite landowners. Landowners can review agreements they're invited to, access shared files, sign documents, and message the farmer. Each participant is responsible for the accuracy of what they enter and for reviewing documents before signing them.

4. Electronic signatures

AgTerms lets you sign lease documents electronically. By typing your name and submitting a document through AgTerms' signing flow, you're providing a legally binding electronic signature under applicable e-signature law (including the U.S. ESIGN Act), and you agree that signature carries the same legal effect as a handwritten one. We record the signer's name, timestamp, and, where available, IP address as part of that signature, and we compute a fingerprint of the signed document so it can later be verified against the record.

You're responsible for reading a document before signing it. AgTerms doesn't review lease terms for legal sufficiency, accuracy, or enforceability -- that's on you and, if you want it, your own legal counsel.

5. Subscriptions and payment

Some AgTerms features require a paid subscription, billed through Stripe. Subscription fees, trial terms, and billing cycles are shown at checkout. You can cancel anytime from your account's billing page; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law. AgTerms does not process farm rent or lease payments between farmers and landowners -- payment records in the app are for tracking only, not a payment processor for lease transactions between users.

6. Acceptable use

Don't use AgTerms to:

• Impersonate someone else, or claim an agreement or signature that isn't genuinely yours
• Upload content you don't have the right to upload, or that infringes someone else's rights
• Interfere with or attempt to compromise the security of the service
• Scrape, resell, or use the service to build a competing product
• Use the service for anything unlawful

We can suspend or terminate accounts that violate these Terms, though records tied to a signed agreement may be retained as described in our Privacy Policy.

7. Your content

You keep ownership of the agreements, documents, messages, and other content you put into AgTerms. You grant us the license we need to store, process, and display that content back to you and the other party to an agreement, in order to provide the service.

8. Disclaimers

AgTerms is provided "as is," without warranties of any kind, express or implied. We don't guarantee the service will be uninterrupted, error-free, or that it will meet every requirement of your specific lease arrangement. Reminders and deadline tracking are provided as a convenience, not a guarantee -- you're responsible for meeting your own legal and contractual deadlines regardless of whether AgTerms sends a reminder.

9. Limitation of liability

To the fullest extent permitted by law, Liveatom, LLC won't be liable for indirect, incidental, or consequential damages, or for any amount exceeding what you paid us in the twelve months before the claim arose.

10. Changes

We may update these Terms from time to time. If we make material changes, we'll let you know (email or an in-app notice) before they take effect. Continuing to use AgTerms after that means you accept the updated Terms.
